01 - CLIENT ONBOARDING

02 - EVALUATE BUSINESS MODEL
We take a close look at your business model to determine whether it needs refinement. We then prepare for testing the buy-side market.

03 - MAKE-THE-MARKET
Through Trident's extensive buyer network, we identify a large pool of possible acquirers. Once approved by the client with NDA's, we grant access to the data room.

04 - MEET & GREET
For buyers that show an initial interest, we organize an informal conference between seller and buyer to gauge fit, chemistry and next steps.

05 - LETTER OF INTENT (LOI)
A timeline for submissions of LOI is communicated to potential acquirers. Trident scrubs every LOI as it will become the baseline of the Purchase Agreement.

06 - PURCHASE AGREEMENT
Building on the LOI, every aspect of the Purchase Agreement is analyzed by legal, financial and operational experts.

07 - CLOSE
The closing event is sometimes an emotional event for our clients. Closing is the day all parties are working toward and the day that triggers a significant liquidity event.

08 - POST-CLOSE ADJUSTMENTS
Quite often it is necessary to make various post-close adjustments. For instance, a post-close adjustment in working capital makes both parties comforable with the closing numbers, knowing that any significant changes in the first 60-90 days can be accounted for.

The search for the optimum target company typically involves criteria such as desired product portfolio, revenue, industry, region, profitability, competencies and motives of the target company for selling.

03- DEVELOP LONG AND SHORT LIST
The previous step will yield a list of companies that match the search criteria. As part of the screening process, certain companies will appear to be more attractive than others. This will form the basis of a short list for your acquisition.
